4. Intellectual Property Rights

All content on the EnglishMaster platform, including but not limited to text, graphics, logos, images, audio recordings, video content, lesson materials, curriculum design, interactive exercises, assessments, and software code, is the exclusive property of EnglishMaster or its content providers and is protected by international copyright laws. You are granted a limited, non-exclusive, non-transferable license to access and use this content solely for your personal learning purposes.

You may not reproduce, distribute, transmit, display, perform, or create derivative works from any content without prior written permission from EnglishMaster. You may not sell, license, or exploit any content for any commercial purpose. Unauthorized use of our intellectual property may result in civil and criminal liability.

Any feedback, suggestions, comments, or ideas you provide to EnglishMaster regarding our services may be used by us without restriction or compensation to you. You retain ownership of any content you create (such as essays or assignments), but grant EnglishMaster a license to use, display, and evaluate such content for educational and quality improvement purposes.

5. Disclaimers and "As Is" Basis

EnglishMaster services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We make no warranty that our services will be uninterrupted, error-free, secure, or that defects will be corrected. We do not guarantee the accuracy, completeness, or reliability of any content, instruction, or materials provided through our platform.

We disclaim all warranties, including but not limited to: implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty regarding the results you may achieve from using our services. Language learning outcomes depend on numerous factors including your effort, consistency, prior knowledge, and personal circumstances, which are outside our control.

We do not warrant that your use of our services will result in improved English proficiency, certification exam success, professional advancement, or any specific outcome. Individual results vary significantly. You understand that achieving language fluency requires sustained effort and practice beyond instruction hours.

6. Limitation of Liability

To the maximum extent permitted by law, EnglishMaster shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services, including but not limited to: loss of profits, loss of revenue, loss of business opportunity, loss of data, or loss of goodwill, even if we have been advised of the possibility of such damages.

In no event shall EnglishMaster's total liability to you for any and all claims arising from your use of our services exceed the total amount you have paid to us in the twelve months preceding the claim or £100, whichever is greater. Some jurisdictions do not allow limitations on liability, so this limitation may not apply to you.

You acknowledge that this limitation of liability is a material inducement for EnglishMaster to provide services at the prices we charge. If we were liable for all potential damages, our service fees would be substantially higher.

7. Indemnification

You agree to indemnify, defend, and hold harmless EnglishMaster, its owners, officers, employees, and agents from any and all claims, disputes, demands, liabilities, damages, costs, and expenses (including reasonable attorney fees) arising from or related to:

  • Your use of our services in violation of these terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party intellectual property rights
  • Your content or information provided to our platform
  • Your conduct toward other users or instructors

This indemnification obligation applies to claims brought by any third party, including copyright holders, other users, or government agencies. You will cooperate fully with EnglishMaster in defending any such claim.

8. Third-Party Links and Content

Our website may contain links to third-party websites, resources, and content that are not operated by EnglishMaster. We provide these links for convenience and informational purposes only. We do not endorse, control, or assume responsibility for the content, accuracy, legality, or appropriateness of any third-party websites or resources.

Your access to and use of third-party websites is entirely at your own risk and subject to the terms and conditions of those websites. We encourage you to review the privacy policies and terms of service of any third-party site before providing your information or conducting transactions.

EnglishMaster shall not be liable for any losses, damages, or claims arising from your access to or use of third-party websites or content linked from our platform.

9. Privacy and Data Protection

Your use of EnglishMaster services is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at /privacy/ to understand our practices regarding the collection, use, and protection of your personal information.

We are committed to protecting your data and complying with applicable privacy laws including GDPR, UK GDPR, and other regional data protection regulations. By using our services, you consent to the collection and processing of your personal data as described in our Privacy Policy.

10. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these terms.

You irrevocably submit to the exclusive jurisdiction of the courts of England and Wales for any legal proceedings arising from or related to these terms or your use of our services. You waive any objection to jurisdiction or venue in these courts and any claim that legal proceedings have been brought in an inconvenient forum.

If you are located outside England and Wales, you acknowledge that you are voluntarily submitting to English jurisdiction by using our services and agreeing to these terms.

11. Dispute Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through informal negotiation. Contact our support team at [email protected] to describe the dispute and your proposed resolution. Our team will respond within 10 business days.

If informal resolution is unsuccessful within 30 days, either party may initiate binding arbitration administered by a mutually agreed arbitrator in London, England. Arbitration shall be conducted under the Rules of the Chartered Institute of Arbitrators. The arbitrator's decision shall be final and binding and may be enforced in any court of competent jurisdiction.

Notwithstanding the arbitration clause, either party may pursue equitable relief (injunction or specific performance) in court to prevent irreparable harm. Each party shall bear its own costs and attorney fees in any arbitration or dispute resolution proceeding, except the arbitrator may award costs to the prevailing party if arbitration is deemed frivolous.

12. Termination of Service

You may cancel your subscription at any time by accessing your account settings or contacting our support team at [email protected]. Cancellation takes effect at the end of your current billing period. We will process refunds according to our refund policy within 14 business days.

EnglishMaster may suspend or terminate your access to our services immediately and without notice if you: violate these terms, engage in illegal activity, abuse our systems, harass other users or instructors, or pose a security risk to our platform. Suspended or terminated users are not entitled to refunds of prepaid fees.

Upon termination, your right to use our services ceases immediately. All provisions of these terms that by their nature should survive termination, including indemnification, limitation of liability, intellectual property, and dispute resolution, shall survive. EnglishMaster may delete your account data after 90 days of termination unless you request earlier deletion.

13. Changes to Terms of Service

EnglishMaster reserves the right to modify these Terms of Service at any time. Any changes will be posted on this page with a new "Last Updated" date. For material changes that negatively affect your rights, we will provide at least 14 days' notice via email or prominent notice on our website.

Your continued use of EnglishMaster services after any changes to these terms constitutes your acceptance of the revised terms. If you do not agree with any changes, you must stop using our services and may request cancellation of your subscription. No refunds will be provided for cancellations based on term changes after the 14-day notice period.

15. Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed. The remaining provisions shall continue in full force and effect. This severability clause ensures that the intent of these terms is preserved even if individual provisions cannot be enforced.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other policies or agreements posted on our website, constitute the entire agreement between you and EnglishMaster regarding your use of our services and supersede all prior and contemporaneous agreements, understandings, and negotiations. There are no oral agreements, understandings, or conditions that modify these written terms. If you have received different terms from any EnglishMaster representative, those terms do not override this agreement.
